Terms of Service — Grade Sync Pro

1. Overview & Scope

These Terms of Service (the “Terms”) explain the agreement between you and Miron Consulting (“Grade Sync Pro”, “we”, “our”, or “us”) regarding access to and use of the Grade Sync Pro web application, APIs, and related services (collectively, the “Services”). By creating an account, logging in, or using any part of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity; in such case, “you” and “your” refer to that entity.

2. Accounts & Security

Accurate information. You agree to provide and maintain complete, accurate profile information including contact details and any billing credentials.
Credential protection. You are responsible for safeguarding your password, API tokens, and any device or browser that remains signed in. Notify us immediately of unauthorized use.
Authorized users. If you administer multi-user workspaces, you must ensure that every invited user complies with these Terms and has only the permissions they require.

3. Acceptable Use

You agree not to misuse the Services. Prohibited activity includes (i) probing or breaching security or authentication measures; (ii) scraping or bulk exporting content without written consent; (iii) interfering with, overloading, or disrupting our infrastructure; (iv) uploading malicious code; and (v) misrepresenting grades, identities, or affiliations. We may suspend or terminate access when behavior risks our platform, our partners, or other users.

4. Billing & Subscriptions

Certain Service tiers require paid subscriptions or transaction-based fees. Unless otherwise stated in an order form:

Charges recur automatically at the interval you select until cancelled.
Payments are non-refundable except where required by law.
Overdue amounts may result in suspension; you remain responsible for accrued fees.

We may modify pricing with at least 30 days’ notice. Continued use after the effective date constitutes acceptance of the new rates.

5. Data & Intellectual Property

Your content. You retain rights to submission data, inventory details, customer records, and other inputs you upload. You grant us a limited license to host, analyze, and display that content solely to provide the Services.
Our materials. The Services, including visual designs, software, and documentation, are owned by Grade Sync Pro and our licensors. You may not copy or create derivative works except as expressly permitted.
Feedback. Suggestions or improvements you share may be used without obligation to you.

6. Suspension & Termination

You may cancel your account at any time via the application or by contacting support. We may suspend or terminate access with notice if you breach these Terms, fail to pay fees, or create risk or legal exposure for Grade Sync Pro. Upon termination we will disable access to your account and purge or return data consistent with our Privacy Policy and retention schedule.

7. Disclaimers & Liability

The Services are provided “as is” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. To the maximum extent permitted by law, Grade Sync Pro and its suppliers will not be liable for indirect, incidental, special, consequential, or exemplary damages, nor for any loss of profits, data, or goodwill. Our aggregate liability for claims under these Terms will not exceed the amounts you paid to use the Services in the twelve months preceding the event giving rise to liability.

8. Changes to These Terms

We may update these Terms to reflect operational, legal, or regulatory requirements. We will post the revised Terms and update the “Effective” date. If a change materially impacts your rights or obligations, we will provide reasonable advance notice by email or in-product alerts. Continued use after the effective date constitutes acceptance.
